The Statutes of the Institute for European Cooperation, z.ú.

Preamble

The founders of the institute, Mgr. Martina Křížková, MBA, born 2. 8. 1970, address: Na Přesypu 312/13. 182 00 Praha 8-Troja, and Ing. Ondřej Syrůček, MBA, born 29. 11. 1976, address: Zeleneč, U Obory 757, 250 91 (hereinafter referred to as “the Founders”) founded the Institute for European Cooperation, z.ú in accordance with provision § 402 and the following Act no. 89/2012 Coll., Civil Code, as amended.

The Institute for European Cooperation, z.ú. was established on 19th May 2016 by inscribing in the Registry of Institutes of the Czech Republic (hereinafter referred to as “the Registry”).

Institute for European Cooperation, z.ú. is a legal person founded in accordance with § 402 and the following Civil Code and inscribed in the Registry at the Municipal Court in Prague, section U, enclosure 434.

In accordance with § 413 Act no. 89/2012 Coll., Civil Code, as amended, the Board of Directors of the Institute for European Cooperation, z.ú. releases the following statute:

I. Name and Registered Seat of the Institute

Name of the institute: Institute for European Cooperation, z.ú. (in Czech: Ústav pro evropskou spolupráci, z.ú.)

Registered seat of the institute: Senovážné náměstí 992/8, 110 00 Praha 1.

II. Main and Secondary Activities of the Institute

Main activities of the institute:

The institute’s main field of activity is providing assistance to entities and individuals applying for the European Union funding programmes. The assistance primarily consists of preparation and elaboration of grant applications for projects to be co-financed through the funding programmes, e.g. Horizon 2020 and similar community programmes, programmes financed from the EU funds and other public funding schemes. The institute will elaborate grant applications and subsequently participate on implementation of selected supported activities.

The institute uses its own personal assets and property for the following socially and economically beneficial activities, the results of which are equally available to any person until the institute’s capacity is exhausted, as stipulated in clause III:

– the support of innovative projects of significant importance across various areas of the economy through elaboration of public grant applications with the intention to help develop the projects

– dissemination of information about public funding opportunities aimed at project development, including consultations in relation to preliminary identification of project plan objectives

– providing additional educational and training benefits for clients, incl. release of publications and materials focused on public funding opportunities

Secondary activities of the institute:

As for secondary activities, the institute organizes training sessions and seminars, partakes in strategy planning and conceptual document formation, provides consultation, implements its own innovative projects and takes on a role of a Representative when dealing with the EU authorities.

Within the scope of secondary activities, the IEC pursues objects of business classified as Trade Manufacture, Trade and Services not Specified in Annexes 1 to 3 of the Trade Licensing Act, with the following fields of activities:

– Publishing, printing, binding and copying

– Intermediation in trade and services

– Provision of software, information technology consulting, data processing, hosting and related activities and web portals

– Real estate services, facility management and maintenance

– Guidance and consulting activities, production of expert studies and opinions

– Preparation and production of technical designs, graphic and drawing work

– Research and development in the field of natural and technical sciences or social sciences

– Translation and interpreting

– Administrative services and services of an organizational and economic nature

– Extra-curricular education, organization of courses, training, including instructor services

Secondary activities of the institute must not be to the detriment of quality, extent and availability of services provided within the scope of main activities of the institute. The profit can only be used to subsidise the main activities of the institute, for which it was established for, and to compensate costs of own management and administration.

III. Availability of Results from the Main Activity of the Institute

The support for important innovative projects

The institute’s main field of activity revolves around supporting important innovative projects in various areas of the economy through elaboration of public grant applications, providing assistance to clients who reserve the institute’s capacity on a contractual basis.

Phase 1 – Evaluation of the client’s potential:

Within this phase, the client’s potential of taking advantage of the institute’s support for innovative projects is being evaluated. If the evaluation turns out positive, the client is offered a collaborative partnership with the institute within phase 2. In case of a negative outcome, the client is imparted a recommendation.

Phase 2 – Support for project preparation and implementation

Within phase 2, the institute assists the client in the grant application elaboration process and provides project administration for those projects that had received the EU grant.

The results of the institute’s main activity, namely the support for important innovative projects, are available to any person whose significant innovative project had fulfilled the criteria set by an expert commission or an authorized expert designated by the Director of the institute. The results of the activities are provided until the institute’s capacity is exhausted.

Dissemination of information

The main activity of the institute in regards to dissemination of information about public funding opportunities for project development including consultancy in relation to preliminary identification of project plan objectives is provided to any person who submits a written letter of application through the institute’s form according to an announced schedule.

The results of the activities aimed at information dissemination are provided until the institute’s capacity is exhausted.

Publication, training and other educational activities

The main activity of the institute in regards to publication, training and other educational activities including release of publications and materials focused on public funding opportunities is provided of own accord or based on a request submitted through the institute’s form according to an announced schedule.

The results of the activities aimed at publication, training and other educational activities are provided until the institute’s capacity is exhausted.

IV. Organizational Structure of the Institute

The institute has the following bodies:

a) Director

b) Board of Directors

c) Board of Trustees was not established.

Normal operation of the institute is managed by the Director, whose status is regulated in clause X of the institute’s Memorandum:

Director of the institute, besides other things:

a) undertakes business and strategic leadership of the institute,

b) decides which projects and activities will the institute participate on,

c) evaluates innovative projects,

d) determines the price list of services and its changes,

e) arranges for promotional activities of the institute.

To ensure transparent operation of the institute the Director has the right, at his or hers discretion and with the Board of Director’s consent, to establish advisory and expert commissions and as their members name representatives of the institute’s clients who have been making use of the institute’s main activities’ results on contractual basis for more than a year. Advisory commissions will consist of experts representing individual sectors corresponding to those presented in the grant programmes.

The Director has the right to propose members of the Board of Directors and the Board of Trustees (in case it is established).

V. Responsibility of the Board Members

The Board members are responsible for performing their duties to the extent specified in the provisions of the Civil Code.

VI. Verification of Financial Statements by the Auditor

In case of annual net turnover exceeding 10 million CZK financial statements will be subject to verification by an auditor.

VII. Final Provisions

This statute is done in four duplicates, two of which will be given to the Founders, one will be kept at the Registry and one will be filed with the institute’s documentation.
